Terms of Service

1. Acceptance of These Terms

By accessing or using PhysDent (the "Platform"), you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree, you must not use the Platform. Our mission is to make career navigation private, dignified, and on the clinician's terms. PhysDent Platform, LLC is a limited liability company incorporated in the State of Tennessee.

2. Eligibility

To use PhysDent, you must:

• Be at least 18 years of age
• Be legally permitted to work in the United States or be actively pursuing a transition to civilian practice (for transitioning military members)
• Provide accurate information during registration
• Agree to these Terms and our Privacy Policy

By creating an account, you represent that you meet these requirements. We reserve the right to suspend or terminate accounts that do not meet eligibility requirements.

3. Account Registration

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and accept responsibility for all activity under your account
• Notify us promptly at legal@physdent.com if you suspect unauthorized access to your account

You may not create an account on behalf of another person without their explicit consent. You may not use a false identity or misrepresent your professional credentials.

4. Provider Accounts

• Your profile is private by default. Your real name, contact information, and professional details are never shared with Recruiting Partners without your explicit approval.
• You are assigned a stealth alias that serves as your anonymous identifier on the platform.
• You control all connections. You must approve any introduction before a Recruiting Partner receives your identifying information.
• The platform is free for Providers.

5. Recruiting Partners

• You may only contact Providers who have explicitly approved a connection with you.
• You may not attempt to identify, contact, or research Providers outside of the consent-based introduction process.
• You may not share Provider profile information with third parties without written consent from the Provider and from PhysDent.

6. PhysDent Staffing, LLC

PhysDent Platform, LLC has an affiliated entity, PhysDent Staffing, LLC, which operates a staffing program through which licensed clinicians may be connected with short-term, locum tenens, or contract staffing opportunities.

All content, design, trademarks, and software associated with PhysDent are owned by PhysDent Platform, LLC or its licensors. You retain ownership of any content you submit to the platform.

Your use of PhysDent is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHYSDENT PLATFORM, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our total liability shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) $100.

12. Indemnification

You agree to indemnify and hold harmless PhysDent Platform, LLC from any claims arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms, without prior notice. If your account is terminated for cause, you may not re-register without our express permission.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Tennessee. You waive any right to participate in a class action lawsuit.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms.
